Terms / Contractual Basis

This website is not an automated webshop with uniform standard terms for mass-market purchases. Services by Stefan Pilz Ltd. are usually provided on a project basis and are governed by individual offers, statements of work, and written agreements.

1. Scope

These notes apply to consulting, development, migration, maintenance, and support services offered by Stefan Pilz Ltd.

2. Contract formation

A contract is formed only when an individual offer, statement of work, or another written agreement has been accepted by both parties. Information published on this website does not by itself constitute a binding contractual offer.

3. Scope of work

The specific scope of work is determined exclusively by:

  • the individual offer
  • written project agreements
  • where applicable, a jointly agreed specification or requirements document

4. Client cooperation duties

The client must provide all information, access credentials, approvals, and materials required for the project in due time. Delays caused by missing cooperation may affect timelines and effort planning.

5. Fees and payment terms

Fees, billing model, payment deadlines, and any recurring retainers are defined in the individual offer or contract. Unless agreed otherwise, invoices are due without deduction within the period stated on the invoice.

6. Timelines and availability

Dates are binding only if they have been explicitly confirmed in writing as binding. Stefan Pilz Ltd. is not liable for delays caused by force majeure, outages of third-party services, or missing client cooperation.

7. Usage rights in work results

Usage rights for individually created work results are transferred to the client within the agreed scope after full payment, unless the contract states otherwise. Pre-existing tools, libraries, frameworks, and general development building blocks remain unaffected.

8. Liability

Stefan Pilz Ltd. has unlimited liability in cases of intent, gross negligence, and injury to life, body, or health. In all other cases, liability is limited to foreseeable damage typical for the contract, to the extent permitted by law.

9. Confidentiality and data protection

Both parties shall treat confidential information confidentially. The processing of personal data is governed in addition by the data protection page.

10. Applicable law

The law of the Republic of Cyprus applies unless mandatory consumer protection provisions require otherwise.
